What is a Master Franchise & Regional Franchise Distribution Network?
A Regional Franchise Distribution Network is the overall system created when a franchisor needs to penetrate a large geographical area by leverging local partners.
It utilizes The Master Franchise model, which is one of the most common and powerful forms of the regional franchise distribution network;
The master franchise is the key, they are responsible for creating the entire network of individual units within that region.
It's essentially a hierarchical distribution channel that allows the franchisor to scale quickly and efficiently without having to directly manage every single unit or understand every local market nuance.
This creates a Three-Tier Structure;
The Franchisor (Brand Owner): who develops the original business system and the brand.
The Master Franchisee (Sub-Franchisor): Who has the exclusive right to develop the brand within a designated territory.
Individual Franchisees (Sub-Franchisees): Operate the indiviodual business units (stores, offices, etc.) within that territory, they sign agreement with the Master Franchisee, not the original Franchsior.

a well-developed brand asthetic with developed media precense;
3 or more locations of physical presence;
2 or more years in operational business (excl. dormant years);
Fully mapped out processes and procedures with incorporated feedback loops;
Fully mapped out new location opening procedures and protocols;
Data & KPI tracking integration via ERP or defined roles;
Audited financial statements following IFRS or GAAP Standards;
Consolidated & Individual location financial statements;
Clean legal history (litigation and bankruptcy) with no material regulatory violations or systemic franchisee litigations.

All previous conditions apply;
a LEI for all entities working in your organization;
a copy of FDD or equivalent mandatory disclosure requirements to the franchisee;
a positive working ratio and positive EBITDA for the last 3 years;
a fully implemented tech-stack of the company;
a market saturation plan showing capacity in existing core markets and underlying KPIs.
Royalty revenue exceeding 50% of corporate entity total revenue (no reliance on initial franchise fees);
